Welcome to Xitymart, an online marketplace connecting buyers and sellers through a seamless e-commerce experience. By accessing or using Xitymart, you agree to comply with and be bound by the terms and conditions.

1. Acceptance

These general terms and conditions shall apply to all users and shall govern your use of the marketplace and related services. By using our Platform you accept these general terms and conditions in full. If you disagree with these general terms and conditions or any part of these general terms and conditions you must not use our marketplace.

If you use our marketplace in the course of a business or other organizational project then by so doing you: Confirm that you have obtained the necessary authority to agree to these general terms and conditions; therefore this the terms of this conditions shall be binding on you and the party herein represented.

• Definition of terms

“Xitymart” refers to the e-commerce platform, accessible at https://xitymart.com.

“Vendor” refers to any user who sells products through Xitymart.

“Buyer” refers to any user who purchases products from Xitymart.

“User” refers to everyone who accesses Xitymart platform

Third party” Refers to

• Eligibility

Users must be 18 years and above to use Xitymart. By registering, you represent and warrant that you have the right, authority, and capacity to enter into this agreement.

• Registration and account

To register and use Xitymart platform, You would be required to provide certain details which may include but not limited to Name, Email, Phone . You are expected to create password where necessary.

• Password

The safety of your password depends on you. By using our platform and creating a password, You agree to;

1.  keep your password confidential;
2.  Immediately notify Xitymart of any password compromise
3. be responsible for any activity on our marketplace arising out of any failure to keep your password confidential and that you may be held liable for any losses arising out of such a failure.
4. Account Usage

 Your agree to exclusively use your account and to solely bear any risk that may arise from the authorization of use by a third party.

Accounts can be suspended, canceled or edited at our sole discretion and without notice or explanation including services paid for but yet to be delivered providing that you breached our terms. You may cancel your account on our marketplace by contacting us

• Users

Users refers to Customers, Vendors, Agents, Third Parties that access and engage the services provided in the platform.

Users Obligation

1. Users must provide accurate information and comply with the terms of the policy.
2. User’s shall comply with all applicable laws, including consumer protection laws and the Platform’s policies.
3. User’s Shall report all misleading information and  misconduct to Xitymart.
4. Users shall not be involved in fraudulent activity or the use of the platform for illegal purposes.
5.  Terms and conditions of sale

Xitymart is a multi-vendor marketplace. We accept sales on-behalf of vendors but unless Xitymart is indicated as the seller, It is not a party to the transaction between the seller and the buyer.

Upon purchase by the buyer a legal contract of sell is made valid between the buyer and the seller. Subject to these general terms and conditions the seller’s terms of business shall govern the contract for sale and purchase between the buyer and the seller.

Notwithstanding this, the following provisions will be incorporated into the contract of sale and purchase between the buyer and the seller:

1. products must be of satisfactory quality, safe and fit for the purpose specified in product details
2. Products must conform in all material to the product listing details and description
3. In respect of physical products sold the seller warrants that the seller has good title to and is the sole legal and beneficial owner of the products and/or has the right to supply the products pursuant to this agreement and that the products are not subject to any third party rights or restrictions including in respect of third party intellectual property rights and/or any criminal insolvency or tax investigation or proceedings; and in respect of digital products the seller warrants that the seller has the right to supply the digital products to the buyer.

1. Fees and Payment

Kindly note that there are fees and payment associated with the use of our platform; this includes but not limited to product price, taxes, delivery charges, packaging charges, handling charges, administrative charges, payment commission, insurance costs and other ancillary costs and charges where applicable will only be payable by the buyer if this is expressly and clearly stated in the product listing; and delivery of digital products may be made electronically.

Different payment methods are available in the payment. Users can choose to explore any payment method of their choice. Users are responsible for payment of all charges/commission associated with payment gateway/method chosen.

For payment associated with vendors, kindly refer to our vendors fees and commission policy.

You must make payments due under these general terms and conditions in accordance with the Payments Information and Guidelines on the marketplace.

1. Promotions

 Promotions and competitions run by Xitymart and/or other promoters shall be managed in accordance with the Promotions Terms and Conditions. You can view each Promotion’s terms and conditions on our website

1. Intellectual Property

All content on Xitymart, including logos, trademarks, and designs, is the intellectual property of Xitymart or its licensors and is protected by applicable laws. Contents refers to;

1.  all works and materials (including without limitation text graphics images audio material video material audio-visual material scripts software and files) that you submit to us or our marketplace for storage or publication processing by or onward transmission; and
2. all communications on the marketplace including product reviews feedback and comments.

Your content and the use of your content by us in accordance with these general terms and conditions must be accurate complete and truthful. It must be appropriate civil and tasteful and in accordance to the generally accepted standards of etiquette and behaviour on the internet

It must NOT;

1.  be offensive obscene indecent pornographic lewd suggestive or sexually explicit;
2.  depict violence in an explicit graphic or gratuitous manner;
3. be blasphemous in breach of racial or religious hatred or discrimination legislation;
4.  be deceptive fraudulent threatening abusive harassing anti-social menacing hateful discriminatory or inflammatory
5.  cause annoyance inconvenience or needless anxiety to any person; or constitute spam.
6.  Your content must not be illegal or unlawful infringe any person’s legal rights or be capable of giving rise to legal action against any person (in each case in any jurisdiction and under any applicable law). Your content must not infringe or breach:
7. Infringe or breach any copyright moral right database right trademark right design right in passing off or other intellectual property right
8.  Infringe or breach any right of confidence right of privacy or right under data protection legislation;
9. Infringe or breach any contractual obligation owed to any person; or any court order.
10. Use of our marketplace

A You must not link our platform/website to any website or platform consisting of or containing materials that would breach the provisions of these general terms and conditions.

B. You must not submit to our marketplace any material that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.

C. The review function on the marketplace may be used to facilitate buyer reviews on products. You shall not use the review function or any other form of communication to provide inaccurate inauthentic or fake reviews.

D. You acknowledge that all users of the marketplace are solely responsible for interactions with other users and you shall exercise caution and good judgment in your communication with users. You shall not send them personal information including credit card details.

1. Interference of Transaction

You must not interfere with a transaction by;

1. contacting another user to buy or sell an item listed on the marketplace outside of the marketplace;
2. communicating with a user involved in an active or completed transaction to warn them away from a particular buyer seller or item;
3. contacting another user with the intent to collect any payments.

16. Rights to Use Your Content

License Grant: You give Xitymart a worldwide, irrevocable, royalty-free, non-exclusive license to use, reproduce, store, adapt, publish, translate, and distribute your content on our marketplace, marketing channels, and all media (now and in the future).

Sub-licensing & Legal Action: Xitymart can sub-license these rights and take legal action if someone infringes on them.

Moral Rights Waiver: You waive your moral rights, and you guarantee others involved have done the same, as far as the law allows.

Content Breaches: If you break content rules (or they suspect you have), Xitymart can edit, unpublish, or delete your content.

If you learn of any unlawful material or activity on our marketplace or any material or activity that breaches these general terms and conditions you may inform us by contacting us as provided at section

17.  Use of Website and Mobile Apps

Permitted Use: You can view, cache, print, and stream content for personal or business use, but not excessively.

Restricted Use: Unless allowed, you cannot download, edit, sell, republish, show publicly, or commercially exploit website materials.

Redistribution Exceptions: You can share links, newsletters, and promotional materials.

Access Restrictions: Xitymart can limit or suspend access (e.g., for maintenance), and you must not try to bypass these restrictions.

You must not do any of the following on Xitymart’s website:

1. Damage or Disrupt the website’s performance, availability, security, or integrity.
2. Engage in Illegal or Harmful Activities – including anything unethical, unlawful, fraudulent, or harmful.
3. Hack or Tamper with the website
4. Scan or Test for Vulnerabilities without permission
5. Bypass Security Measures or authentication systems
6. Distribute Malware – including viruses, spyware, worms, trojans, keyloggers, rootkits, etc
7. Overload Resources – placing excessive strain on bandwidth, storage, or processing capacity
8. Decrypt Communications without authorization.
9. Scrape or Harvest Data using automated tools without written consent.
10. Use Bots or Crawlers (except for search engines) to interact with the site.
11. Access the Site Illegally – only public interfaces are allowed.
12. Ignore Robots.txt Rules – you must follow site access guidelines.
13. Use Site Data for Marketing – no email, SMS, or telemarketing using data from the site.
14. Interfere with Normal Use of the website in any way.

18.  Copyright and trademarks

 Intellectual Property Right

Ownership: Xitymart and its licensors own all copyright and intellectual property rights in the website and its content. All rights are reserved.

Trademarks: Xitymart’s logos and trademarks are protected; using them without permission may be a legal violation.

Third-party trademarks shown on the site belong to their owners; Xitymart does not grant rights to use them.

19. Data Privacy

Users’ Consent: Users agree to the processing of personal data as outlined in Xitymart’s Privacy and Cookie Notice.

Xitymart’s Responsibility: Xitymart will handle all data in line with its privacy policies.

Sellers’ Responsibility: Sellers are directly accountable for any misuse of buyers data. Xitymart is not liable for seller misconduct regarding personal data.

20. Due Diligence and Audit Rights

Anti-Fraud Measures: Xitymart runs a compliance program against fraud and money laundering and may carry out due diligence checks on users.

User Cooperation: You must provide any necessary information, documents, or access that Xitymart requires:

• To verify compliance with the terms,
• To fulfill legal obligations (like court orders),
• Or as required by law or regulation.

21. Xitymart’s Role and Responsibilities

       A. Marketplace Function

Xitymart acts as a facilitator between buyers and sellers (which may include Xitymart itself).

The seller of the product (whether it’s Xitymart or a third party) is fully responsible for that product.

If there’s an issue with a purchase, the buyer must follow Xitymart’s Dispute Resolution Policy to resolve it with the seller.

• Product Information

Xitymart and all sellers must ensure that product listings are complete, accurate, and up to date.

Sellers (including Xitymart when acting as a seller) warrant the accuracy and currency of their product information.

Buyers can raise complaints about inaccurate product info through the Dispute Resolution Policy.

C. No Operational Guarantee

Xitymart does not guarantee:

• That the marketplace will run without issues.
• That services will remain available during force majeure events (e.g. natural disasters, cyberattacks, war, pandemics, etc.).

D.  Right to Discontinue Services

Xitymart may alter or stop any part of the marketplace at any time, with no obligation to compensate users—except for unfulfilled orders or pending obligations

•  Prior Notice (If Not Force Majeure)

If services are discontinued for non-emergency reasons, Xitymart will give at least 14 days’ notice and provide clear next steps for pending transactions or responsibilities.

F.  No Promises on Results

Xitymart makes no guarantees of commercial success from using the marketplace.

All warranties and representations are disclaimed to the fullest extent allowed by law, subject to any exceptions in Legal Boundaries.

 22.  Limitation of Liability

Xitymart is a platform provider and does not control or guarantee the existence, quality, safety, or legality of items advertised. We are not responsible for any claims, damages, or losses that may arise from transactions between Buyers and Vendors.

23.  Limitations and Exclusions of Liability

 Legal Boundaries

Xitymart does not limit or exclude liability in ways that are not allowed by law. Your statutory rights that cannot legally be excluded remain protected.

Scope of Limitations

These liability rules apply to all legal claims under the terms—whether based on contract, negligence, or other legal grounds. The rules in this section are subject to the exceptions in Legal Boundaries

Free Services

For any services provided free of charge, Xitymart has no liability for any kind of loss or damage.

Paid Services

If you’re paying for services, Xitymart’s total liability is limited to the amount you paid for that specific contract/transaction. Each purchase or transaction is treated as a separate contract.

No Liability for Certain Losses

Even where payment is involved, Xitymart is not liable for

• Website downtime or malfunctions.
• Events beyond Xitymart’s control (e.g. natural disasters, cyberattacks).
• Business-related losses, like lost profits, revenue, contracts, or goodwill.
• Loss or corruption of data or software.
• Indirect or consequential losses (unexpected or secondary damages).

Personal Liability of Staff

Xitymart is a limited liability company. You cannot sue individual employees or officers for losses related to the marketplace.

24. Termination

Xitymart reserves the right to suspend or terminate accounts or access to the platform for violations of these terms without notice.

 25. Privacy Policy

Your use of Xitymart is subject to our Privacy Policy.

 26. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms and Conditions, the parties agree to first attempt to negotiate any dispute informally for at least 30 days before initiating any arbitration or legal proceeding.

If the dispute cannot be resolved through informal negotiations, it shall be resolved by binding arbitration. Each party will bear its own costs in the arbitration, and any arbitration decision may be enforced in any court of competent jurisdiction.

 27. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of governing country.

 28. Changes to Terms

Xitymart reserves the right to modify these Terms at any time. Users will be notified of significant changes via email or through a notice on the platform. Continued use of the platform constitutes acceptance of any changes.
